Terms and Conditions
These Terms govern the sale of our products, outlining your rights and obligations when making a purchase from Birmingham Specialities Limited.
1. Interpretation
1.1 “We”, “us” and “our” mean Birmingham Specialities Limited, whose registered office is at Lincoln Works, Moor Lane, Birmingham, B6 7HE
1.2 “Goods” means the P-clips, clamps, fittings, or other products ordered by you.
1.3 “Contract” means the contract for the purchase of goods formed under Clause 4.
2. Basis of Sale
2.1 These Terms apply to the supply of goods by us to you.
2.2 By placing an order, you confirm that you are at least 18 years old, or, if under 18, you have the consent of a parent or guardian to purchase from us.
3. Orders and Acceptance
3.1 When you place an order via our website or by email/phone, you are making an offer to purchase the goods.
3.2 We reserve the right to refuse or cancel your order for any reason, including (but not limited to) unavailability of stock, pricing errors, or suspected fraud.
3.3 The contract between you and us is formed when we send you an order confirmation email with the payment receipt, subject to availability.
4. Price, VAT and Payment
4.1 Our prices may be displayed including or excluding UK VAT. The applicable VAT amount, if any, will be clearly stated before you complete your purchase.
4.2 We accept payment by card. Payment must be received in full before dispatch of Goods.
4.3 If an error in pricing occurs, we may cancel your order and refund you any payment already made.
5. Delivery and Risk
5.1 We aim to dispatch goods as soon as reasonably possible and, in any event, within 7 days after receipt of payment. In most instances goods will be despatched same day or next working day. If there is a delay, we will notify you by email.
5.2 Delivery charges and any applicable shipping methods or surcharges will be stated at checkout.
5.3 Risk in the goods passes to you once the goods are physically delivered to your address.
5.4 Title to the goods passes to you once we have received full payment in cleared funds.
5.5 If delivery is attempted but fails (e.g. because no one is available to take delivery), you may incur additional storage or redelivery charges; if goods remain undelivered or uncollected, we reserve the right to cancel the contract and retain any delivery fee.
6. Consumer Cancellation Right
6.1 For goods purchased online you have a statutory right to cancel your contract under the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
6.2 You may cancel within 14 calendar days from the day after you receive the goods, without giving any reason.
6.3 To exercise your cancellation right, you must notify us by using the ‘Returns’ portal in your account menu, or by email at support@pclips.co.uk within the 14-day period. You then have a further 14 days to return the goods to us.
6.4 You must take reasonable care of the goods during your inspection/handling. You may only use them as you would in a shop to decide whether to keep them.
7. Returns and Refunds
7.1 Returns within the Cooling-Off Period
7.1.1 If you cancel within the cancellation period, we will refund the full price you paid, excluding the delivery charge (unless the reason for return is faulty or defective goods). You will be responsible for the cost of returning the goods to us, unless they are faulty, damaged, or incorrectly supplied.
7.1.2 Refunds will be made within 14 days of us receiving the returned goods or proof of their return, whichever is earlier, to the original payment method.
7.1.3 If you cancel your order within the 14-day cooling-off period and return goods that have been handled or used more than necessary to establish their nature, characteristics and functioning (i.e. more than would reasonably be permitted in a physical shop), we may make a deduction from your refund. The deduction will reflect the reduction in value of the goods as a result of that handling, up to the full price of the goods.
7.2 Returns Outside the Cooling-Off Period
7.2.1 We do not accept returns for “change of mind” after the 14-day cooling-off period.
7.2.2 This does not affect your legal rights if the goods are faulty, not as described, or not fit for purpose
7.3 Faulty or Incorrect Goods
7.3.1 If goods are damaged, defective, or materially different from the description or specification you ordered, you have rights under the Consumer Rights Act 2015.
7.3.2 Please notify us as soon as reasonably possible after discovering any fault or error. We will offer a repair, replacement, or refund, as appropriate, in accordance with your legal rights.
7.3.3 We will reimburse you for reasonable return shipping costs for faulty or incorrect goods or arrange for collection.
8. Warranties and Liability
8.1 We warrant that, at the time of delivery, the goods will:
a. conform in all material respects with their description and any specification supplied,
b. be free from material defects in design, material and workmanship.
8.2 If goods do not comply with the warranty in clause 8.1, your sole remedy is repair or replacement, or refund if repair or replacement is not possible or practical.
8.3 We will not be liable for:
a. losses that were not foreseeable when the contract was made,
b. indirect or consequential losses,
c. loss of profit, business, revenue, or goodwill,
d. damage caused by you misusing the goods or failing to follow any instructions or warnings.
8.4 Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, or for fraud.
9. Data Protection and Privacy
9.1 We will use your personal data in accordance with our Privacy Policy. You agree to that policy when you place an order.
10. Amendments
10.1 We may revise these terms from time to time. The version published on our website at the time of your order will apply.
11. Severability
11.1 If any provision of these terms is held invalid or unenforceable, it shall be severed (or modified minimally) without affecting the remainder of the terms.
12. Governing Law
12.1 These terms are governed by and construed in accordance with the laws of England and Wales.
12.2 You and we both agree to submit to the non-exclusive jurisdiction of the courts of England and Wales.
